Terms of Service

These Terms of Service (“Terms”) govern your use of the InnerArc website, application, and related services (“Service”), provided by Inner Arc Software Ltd (trading as InnerArc) (“we,” “our,” or “us”).

By creating an account, starting a subscription, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of another person or entity, you confirm you have authority to accept these Terms on their behalf.

1. Definitions

  • “Account” means your registered profile used to access the Service.
  • “Customer Data” means any content you upload or create via the Service, including video and audio recordings, transcripts, summaries, themes and other derived information.
  • “Free Plan” means the no-fee tier of the Service with limited recording time and functionality.
  • “Premium Plan” means a paid subscription tier of the Service with increased limits and/or features.
  • “Subscription” means your paid access to a Premium Plan for a recurring billing period.
  • “Service” means the InnerArc video journaling platform, including the website, web app, and any related features, as made available by Inner Arc Software Ltd.
  • “Technical Data” means limited request and connection information (such as your user ID, IP address and basic device/connection details) generated when you use the Service, as described in our Privacy Policy.

2. Provision of the Service

  1. Service Description. InnerArc is a private, AI-assisted video journaling platform. You can record videos, which are securely stored and processed on our infrastructure to generate transcripts, summaries, themes, and related insights for your personal reflection.
  2. Licence to Use. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own personal and non-commercial purposes.
  3. Availability. We will use reasonable efforts to keep the Service available but do not guarantee uninterrupted or error-free operation. Short maintenance windows or outages may occur.
  4. Changes to the Service. We may modify, add or remove features or plans from time to time. Where changes materially affect your Subscription, we will provide reasonable notice.

3. Use of the Service

  1. Eligibility. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.
  2. Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. You must notify us promptly if you suspect unauthorised access.
  3. Plan Limits. Current recording limits include:
    • Free Plan: up to 10 minutes per recording and 10 minutes total recording time per 24-hour period (reset at midnight in your local timezone).
    • Premium Plan: up to 60 minutes per recording and 4 hours total recording time per 24-hour period (reset at midnight in your local timezone).
    When a limit is reached, recording stops automatically. Any content recorded up to that point is processed and stored as normal. We may adjust these limits in future; any material changes will be communicated in advance where reasonably practicable.
  4. Acceptable Use. You must not:
    • upload, store, or share content that is illegal under applicable law;
    • use the Service for any unlawful or malicious activity;
    • attempt to interfere with or disrupt the Service, or bypass security or technical limitations;
    • use the Service as a substitute for emergency response, medical advice, or regulated clinical record-keeping systems.
  5. Not a Medical Record System. InnerArc is not a certified medical or clinical record-keeping system and should not be relied upon as regulated clinical documentation.
  6. No Emergency or Crisis Support. InnerArc is a self-reflection and journaling tool only. It does not monitor or respond to emergency situations, provide professional medical or psychological advice, or act as a crisis intervention service. If you are in crisis or need medical or mental health support, you must contact appropriate professional or emergency services immediately.

4. Plans, Fees & Payments

  1. Billing. Premium Plans are offered on a subscription basis. Fees, billing frequency, and currency are shown at the point of purchase. Payments are processed by Stripe. We do not store full card details.
  2. Auto-Renewal. Unless you cancel, your Subscription will automatically renew at the end of each billing period at the then-current price. You can cancel renewal at any time via your account settings or via the Stripe customer portal link we provide.
  3. Refunds. Except where required by law, all Subscription fees are non-refundable. We may, at our sole discretion, issue goodwill refunds or credits.
  4. Taxes. Fees are exclusive of any applicable taxes. You are responsible for paying any taxes that apply to your purchase, where required by law.
  5. Price Changes. We may change Subscription pricing from time to time. Any increase will apply on your next renewal, and we will give you reasonable notice so you may cancel before it takes effect.

5. Confidentiality & Privacy

  1. Your Content. Your recordings and derived data are private to your Account. We do not manually review your recordings, transcripts or AI-generated content, except where required by law or where you explicitly request support that requires limited access.
  2. AI Processing. Transcription and summarisation are performed using self-hosted models on infrastructure we control. We do not send your recordings or transcripts to third-party AI providers, and we do not use your content to train machine-learning models.
  3. Privacy Policy. Our Privacy Policy explains how we collect, use, and protect your personal data. By using the Service, you agree to our Privacy Policy.

6. Intellectual Property & Content

  1. Service Ownership. The Service, including all software, designs, and underlying technology, is owned by Inner Arc Software Ltd or its licensors. These Terms do not transfer any intellectual property rights in the Service to you.
  2. Your Ownership. You retain all rights to your Customer Data (including your recordings and derived content).
  3. Licence to Us. You grant us a limited, worldwide, non-exclusive licence to host, process, encrypt, and display your Customer Data solely as necessary to operate and provide the Service to you (for example, to store your entries, transcribe them, generate summaries, and stream them back to you).
  4. Feedback. If you provide feedback, recommendations, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable, royalty-free licence to use that feedback for any lawful purpose without obligation to you.

7. Disclaimers & Warranties

  1. No Professional Advice. InnerArc does not provide medical, psychological, financial, or legal advice. Any insights or summaries generated by the Service are informational only and should not be relied on as professional advice.
  2. Service Provided “As Is”. To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Indemnification

  1. Your Obligations. You agree to indemnify and hold harmless Inner Arc Software Ltd from any claims, damages, or expenses (including reasonable legal fees) arising out of:
    • your use of the Service in violation of these Terms; or
    • your Customer Data, where such data infringes the rights of any third party or violates applicable law.

9. Limitation of Liability

  1. Exclusion of Certain Damages. To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or exemplary damages (including loss of profits or data), even if advised of the possibility of such damages.
  2. Overall Cap. To the maximum extent permitted by law, Inner Arc Software Ltd’s total liability arising out of or relating to the Service or these Terms will not exceed the amount you have paid to us for the Service in the 12 months before the event giving rise to the claim. If you use only the Free Plan, our liability will be limited to £0.

10. Term, Suspension & Termination

  1. Term. These Terms apply from when you first use the Service and continue until your Account is closed or these Terms are terminated.
  2. Cancellation by You. You may cancel your Subscription at any time via your account settings or your Stripe customer portal. Your access to Premium features continues until the end of the current billing period.
  3. Suspension or Termination by Us. We may suspend or terminate your access to the Service if:
    • you materially or repeatedly breach these Terms; or
    • we are required to do so by law or to protect the security or integrity of the Service.
  4. Effect of Termination. Upon termination or cancellation, your right to access the Service will end. We may retain your data for a limited period as described in our Privacy Policy, and you may request deletion of your recordings and associated data via support.

11. Miscellaneous

  1. Governing Law. These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
  2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force.
  3. Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, form the entire agreement between you and Inner Arc Software Ltd regarding the Service.
  4. No Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  5. Assignment. You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
